1. Agreement to Terms
By downloading, installing, accessing, or using the Dolpo application (the “App”), or visiting our website at dolpo.io, you agree to be bound by these Terms of Service (the “Terms”). These Terms constitute a binding legal agreement between you (the merchant) and Dolpo (“we”, “us”, or “our”).
If you do not agree to these Terms, you must immediately uninstall the App from your Shopify store and cease all use of our services.
2. Intellectual Property & License
We grant you a limited, non-exclusive, non-transferable, and revocable license to install and run the App on your Shopify store solely for your e-commerce operations.
All materials, software, code, layout designs, icons, trademarks, and intellectual property associated with Dolpo are and will remain the exclusive property of Dolpo and its licensors.
You agree not to reverse engineer, copy, distribute, modify, decompile, or create derivative works based on the App or any portion thereof.
3. Shopify Integration & Store Access
To provide our services, the App integrates with your Shopify store and accesses specific store APIs. You represent and warrant that:
- You have the authority to grant us access to your Shopify store and its data.
- You will maintain active billing credentials and comply with Shopify's Terms of Service.
- You are solely responsible for all actions, offers, and settings created using the App.
We are not responsible for any malfunctions, theme layout breaks, or sales losses arising from modifications you make to your storefront code, third-party theme conflicts, or Shopify platform outages.
4. Fees, Plans, & Subscription Billing
Dolpo offers various subscription plans (e.g., Starter, Growth, Pro) details of which are available on our Pricing page. All fees are billed in USD via the Shopify platform, and appear on your regular Shopify invoice.
- Free Trials: Standard plans include a 7-day free trial. If you uninstall the App before the trial expires, you will not be charged.
- Automatic Billing: Subscriptions are billed on a recurring 30-day billing cycle.
- Refunds: Since billing is handled through Shopify, refunds are subject to Shopify App Store policies. If you believe a billing error occurred, please contact us within 14 days.
5. Acceptable Use Policy
You agree that you will not use the App to:
- Violate any applicable local, national, or international laws or regulations.
- Mislead customers by creating fake volume discounts or pricing bundles.
- Introduce malware, viruses, or code designed to disrupt storefront performance.
- Circumvent or attempt to bypass App license checks or usage limits.
6. Disclaimer of Warranties & Limitation of Liability
Important Legal Warning
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL DOLPO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE APP; (II) THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES; OR (III) ANY OUTAGE OR DISRUPTION OF SERVICES.
7. Termination & Suspension
We reserve the right to suspend or terminate your access to the App or website at our sole discretion, without notice, if we believe you have breached these Terms or violated Shopify merchant guidelines.
Upon termination, all licenses granted to you will immediately expire, and you must remove the App code from your store theme layout.
8. Governing Law & Amendments
These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions. Any disputes will be settled in the competent courts of Kathmandu, Nepal.
We reserve the right to modify these Terms at any time. We will notify you of major changes by updating the “Last Updated” date at the top of this page or by sending a notification through the App dashboard.
